This website is operated by The Carpetry Ltd (NZBN 9429050103713) (The Carpetry). Throughout the site, the terms “we”, “us” and “our” refer to The Carpetry. The Carpetry offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the following terms and conditions which include our Privacy Policy (available further down on this page) (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein. These Terms of Service apply to all users of the site, including without limitation, users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.

Any new features or tools which are added to the website shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

These terms and conditions apply to all goods or service agreed to supply you with Products and/or Services.

Definitions
In these Terms:
GST means Goods and Services Tax, at the rate payable in New Zealand for any supply
Invoice means a document that sets out the agreed price for Products and/or Service(s) to be supplied
Products means good(s) supplied by or through The Carpetry to you
Services refers to any supply to which the Products or Service(s) are being supplied by The Carpetry
Terms means these terms and conditions
We, us or our means The Carpetry
You means you or, both you and the other person on whose behalf you are acting

Terms of Payment
All orders are to be paid in full on our website before your order is confirmed.

Despite our best attempts, we cannot guarantee to meet the preferred and/or confirmed installation date and will not be responsible for any loss, damages or consequential loss arising from any delay.

Your obligations
You must provide true, current and complete information in your dealings with us and must promptly update that information as required so that the information remains true, current and complete.

You must:
not act in a way, or use or introduce anything (including any virus, worm, Trojan horse, timebomb, keystroke logger, spyware or other similar feature) that in any way compromises, or may compromise, a Website or any Underlying System, or otherwise attempt to damage or interfere with a Website or any Underlying System; and

access the Website via standard web browsers only and not by any other method, unless you have our prior agreement. Other methods include scraping, deep-linking, harvesting, data mining, use of a robot or spider, automation, or any similar data gathering, extraction or monitoring method.

You indemnify us against all Loss we suffer or incur as a direct or indirect result of your failure to comply with these Terms.

Supply of Carpet
It is your responsibility to check your order at the time of purchase, including but not limited to: the dimensions, colours, shade variations, quality, quantity and any other detail shown on any orders.

It is the responsibility of the customer to check the accuracy of the quantity of product, prior to completing your order. All products sold by The Carpetry are to be fixed and applied in accordance with the manufacturer's instructions and all goods must be used in accordance with recognised industry standards.

Carpet Shading / Watermarking
The movement in the pile of cut pile carpets is what gives them their popular "take your shoes off" look. This movement creates a soft and appealing appearance that would be lost without it. The pile behaves similarly to suede, with brushing in one direction creating a darker look and in the other direction creating a lighter look. The longer the pile, the more movement and softness it will exhibit. This movement may appear as a track up a hallway for example, or sometimes as if water is on the carpet. It does not affect the durability or wear of the carpet and is not considered a fault, but rather a characteristic of this style. To avoid carpet shading, watermarking, and carpet tracking, select a loop pile carpet.

Carpet Tracking
Tracking may occur on cut pile carpets, which is caused by imprints left by foot traffic, or lines from your vacuum cleaner. This is also not a manufacturing defect, but rather an inherent characteristic of the fibres in a cut pile carpet. Most carpet styles will exhibit some form of pile flattening or change in pile lay due to frequent walking or other types of traffic. It is important to keep this in mind when choosing a carpet. To avoid carpet shading, watermarking, and carpet tracking, select a loop pile carpet.

Force Majeure’s
Please note that any installation date given is also subject to this Force Majeure clause: No Party shall be liable for any failure to perform its obligations where such failure is as a result of acts of nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalisation, government sanction, Pandemic, blockage, embargo, labour dispute, strike, lockout or interruption or failure of international air or sea transportation, and no other Party will have a right to cancel this order in such circumstances. Any Party asserting Force Majeure as an excuse shall have the burden of proving that reasonable steps were taken (under the circumstances) to minimise delay or damages caused by foreseeable events, that all non-excused obligations were substantially fulfilled, and that the other Party was timely notified of the likelihood or actual occurrence which would justify such an assertion, so that other prudent precautions could be contemplated.


Intellectual Property
We own all proprietary and intellectual property rights in each Website (including all information, data, text, graphics, artwork, photographs, logos, icons, sound recordings, videos and look and feel), and the Underlying Systems.

Disclaimers
To the extent permitted by law, we have no liability or responsibility to you or any other person for any Loss whatsoever in connection with:

• any Website being unavailable (in whole or in part) or performing slowly;
• any error in, or omission from, any information made available through a Website;
• any exposure to viruses or other forms of interference which may damage your computer system or expose you to fraud when you access or use a Website. To avoid doubt, you are responsible for ensuring the process by which you access and use a Website protects you from this; and
• any site linked from any Website. Any link on a Website to other sites does not imply any endorsement, approval or recommendation of, or responsibility for, those sites or their contents, operations, products or operators.

We make no representation or warranty that any Website is appropriate or available for use in all countries or that the content satisfies the laws of all countries. You are responsible for ensuring that your access to and use of the Website is not illegal or prohibited, and for your own compliance with applicable local laws.

Liability
To the maximum extent permitted by law:
• you access and use any Website entirely at your own risk; and
• we are not liable or responsible to you or any other person for any Loss under or in connection with these Terms, the Website, or your access and use of (or inability to access or use) a Website. This exclusion applies regardless of whether our liability or responsibility arises in contract, tort (including negligence), equity, breach of statutory duty, or otherwise.

Except to the extent permitted by law, nothing in these Terms has the effect of contracting out of the New Zealand Consumer Guarantees Act 1993 or any other consumer protection law that cannot be excluded. The Consumer Guarantees Act 1993 does not apply to any Products and/or Services purchased for business use.

To the extent our liability cannot be excluded but can be limited, our liability is limited to $100.

To the maximum extent permitted by law, our total liability to you under or in connection with these Terms, or in connection with any Website, or your access and use of (or inability to access or use) any Website, must not exceed $100.

Suspension and termination
Without prejudice to any other right or remedy available to us, if we consider that you have breached these Terms or we otherwise consider it appropriate, we may immediately, and without notice, suspend or terminate your access to the Websites (or any part of them).
On suspension or termination, you must immediately cease using the Website(s) and must not attempt to gain further access.

General
If we need to contact you, we may do so by email or by posting a notice on one of, or all, the Websites. You agree that this satisfies all legal requirements in relation to written communications.

These Terms, and any dispute relating to these Terms or a Website, are governed by and must be interpreted in accordance with the laws of New Zealand. Each party submits to the non-exclusive jurisdiction of the Courts of New Zealand in relation to any dispute connected with these Terms or a Website.

For us to waive a right under these Terms, the waiver must be in writing.

Clauses which, by their nature, are intended to survive termination of these Terms, continue in force.

If any part or provision of these Terms is or becomes illegal, unenforceable, or invalid, that part or provision is deemed to be modified to the extent required to remedy the illegality, unenforceability or invalidity. If a modification is not possible, the part or provision must be treated for all purposes as severed from these Terms. The remainder of these Terms will be binding on you.

These Terms set out everything agreed by the parties relating to your use of a Website and supersede and cancel anything discussed, exchanged or agreed prior to you agreeing to these Terms. The parties have not relied on any representation, warranty or agreement relating to a Website that is not expressly set out in the Terms, and no such representation, warranty or agreement has any effect from the date you agreed to these Terms.

Returns & Exchanges
Our website uses a real-time ordering system to commence orders immediately on confirmation. Please choose carefully as refunds cannot be given after an order has been placed for change of mind. To assist customers in the decision-making process, we encourage you to utilise our sample box service so you know exactly what you are getting prior to placing your order.

General Conditions
We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us. The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

Accuracy
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk. This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

Accuracy of Billing
We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

Third Party Tools
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools” as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools. Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s). We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). In no case shall The Carpetry, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

In New Zealand, our goods and services come with guarantees that cannot be excluded under the Consumer Guarantees Act.

Indemnification
You agree to indemnify, defend and hold harmless The Carpetry and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.

Termination
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes. These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms of Service at any time by notifying us that you no longer wish to use our Services, or when you cease using our site. If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

We collect personal information about you in order to respond to your enquiries, process your registration, sell you products and provide you with services and for purposes otherwise set out in our Privacy Policy.

Governing Law
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the law in New Zealand.
